Terms of Service

These terms form a binding agreement between you and Offload. Please read them carefully before using the platform. By creating an account or using Offload, you confirm that you have read, understood, and agreed to these terms.

1. About Offload

Offload is an AI-powered study planning platform that helps students organise revision, create flashcards, generate exam plans, and track retention progress using evidence-based methods including spaced repetition and active recall.

Offload is operated by Offload Ltd(referred to in these terms as "Offload", "we", "us", or "our"). Our contact address is legal@offload.education.

2. Eligibility

You must be at least 13 years old to use Offload. If you are under 18, you confirm that you have the permission of a parent or legal guardian to use the platform and agree to these terms on your behalf.

By creating an account, you represent that the information you provide is accurate and that you are authorised to agree to these terms.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@offload.education if you suspect any unauthorised access or security breach.

You may not share your account with others, create multiple accounts to circumvent subscription restrictions, or use another person's account without their explicit permission.

4. Subscriptions and Billing

4.1 Free Trial

Offload offers a 14-day free trial with full access to all features. No payment information is required to start the trial. At the end of the trial period, continued access requires a paid subscription. If you do not subscribe, your account will be restricted to view-only mode.

4.2 Subscription Plans

All plans include full, unrestricted access to every Offload feature — AI study planning, spaced repetition, flashcard generation, Google Calendar sync, exam paper practice, progress analytics, and more. We currently offer three plans, billed monthly:

  • Founding Member — £3.99/month. A discounted rate locked in for our earliest supporters. Available in limited quantities; once claimed, the price is guaranteed for the lifetime of the subscription.
  • Standard — £8.99/month. Our core plan for all students.
  • Impact — £14.99/month. Everything in Standard. £10 of your monthly subscription is donated to the Spot Project, a charity supporting access to education for orphaned and disadvantaged young people.

4.3 Billing and Renewal

Subscriptions are processed through Paddle(our authorised reseller and merchant of record). By subscribing, you authorise Paddle to charge your chosen payment method on a recurring monthly basis until you cancel. Paddle's own terms and conditions apply to payment processing.

Your subscription renews automatically on the same date each month. You will receive an email receipt from Paddle for each charge.

4.4 Cancellation

You may cancel your subscription at any time through your billing settings or by contacting us at legal@offload.education. Cancellation takes effect at the end of your current billing period. You will retain full access until that date.

4.5 Refunds

Due to the digital nature of Offload's AI-generated study materials, we generally do not offer refunds once a study loop has been initiated (e.g. generating a plan, creating flashcards, or starting a review session). Each of these actions consumes significant computational resources that cannot be recovered.

If you experience a verified technical defect that prevents you from using the core functionality of the service, you may contact us within 14 days of the charge for a full refund. Billing errors (e.g. duplicate charges or charges after cancellation) will be refunded if reported within 30 days. For full details, see our Refund Policy.

In the UK and EU, consumers have a statutory 14-day right of withdrawal for digital services; however, by starting your subscription and accessing the platform, you expressly consent to the service beginning immediately and acknowledge that this right is lost once the digital content has been accessed.

4.6 Price Changes

We will notify you by email at least 30 days before any price change takes effect. You may cancel before the new price applies.

5. Acceptable Use

You agree not to:

  • Use Offload for any unlawful purpose or in breach of any applicable law or regulation
  • Upload content that is abusive, defamatory, obscene, or infringes the intellectual property rights of any third party
  • Attempt to gain unauthorised access to any part of the platform or to other users' accounts
  • Use automated tools (bots, scrapers, crawlers) to access or extract data from Offload
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Resell, sublicense, or commercially exploit Offload or any content generated by it without our written consent
  • Attempt to impersonate Offload, another user, or any third party
  • Upload or transmit viruses, malware, or any other malicious code
  • Use Offload's AI features to generate content that is misleading, harmful, or violates third-party rights

We reserve the right to suspend or terminate accounts that violate these rules, without notice where necessary to protect other users or the platform.

6. Your Content

You retain ownership of all content you upload to Offload (notes, documents, exam papers, etc.). By uploading content, you grant Offload a non-exclusive, worldwide, royalty-free licence to process that content solely for the purpose of delivering the service to you — including passing it to AI models to generate study materials.

You are responsible for ensuring you have the rights to upload any content you submit. Do not upload copyrighted third-party materials (e.g. full textbooks or published exam papers) in a way that infringes copyright.

AI-generated content (flashcards, notes, questions) is produced for your personal study use. We make no guarantees as to the accuracy of AI-generated content. Always verify important information against authoritative sources.

7. Intellectual Property

All intellectual property rights in the Offload platform — including the software, design, branding, algorithms, and documentation — are owned by or licensed to Offload Ltd. These terms do not transfer any of those rights to you.

"Offload", the Offload logo, and associated marks are trademarks of Offload Ltd. You may not use them without our prior written consent.

8. Third-Party Services

Offload integrates with third-party services including Google Calendar (for scheduling), Paddle (for billing), Supabase (for authentication and data storage), and Google Gemini (for AI content generation). Your use of these services is subject to their own terms and privacy policies. We are not responsible for the practices of these third parties.

Connecting your Google Calendar is optional. If you connect it, Offload will read and write calendar events on your behalf as described in our Privacy Policy.

9. Disclaimers and Limitation of Liability

The Offload platform is provided "as is". We do not guarantee that the platform will be error-free, uninterrupted, or that AI-generated study materials will be accurate or complete.

Offload is a study tool, not a tutoring service. We do not guarantee any particular exam result or academic outcome.

To the maximum extent permitted by law, Offload's total liability to you for any claim arising from your use of the platform is limited to the total subscription fees you paid in the 12 months preceding the claim.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

10. Suspension and Termination

We may suspend or terminate your account if you breach these terms, engage in fraudulent activity, or cause harm to the platform or other users. Where possible, we will give you notice and an opportunity to resolve the issue first.

You may delete your account at any time from Settings. On deletion, your personal data will be handled in accordance with our Privacy Policy. Your study data (flashcards, notes, plans) will be permanently deleted.

11. Changes to These Terms

We may update these terms from time to time. We will notify you by email at least 14 days before material changes take effect. If you continue using Offload after that date, you accept the updated terms. If you do not agree, you may cancel before they take effect.

The effective date at the top of this page always reflects the date of the most recent update.

12. Governing Law

These terms are governed by the laws of England and Wales. Any disputes that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer based in another EU member state, you may also have the right to bring proceedings in your country of residence.
